When Eben Shantz gets tired of working in his downtown loft, he can take his computer to the rooftop lounge or anywhere else in the Ventana, a building that offers Internet access from any electric outlet.

The Ventana, 1635 Washington Avenue, is the first building in the St. Louis area with commercial “broadband over power line” service from Electric Internet, a joint venture between an Ameren Corp. subsidiary and River City Internet Group LLC of Maryland Heights.

“It’s really easy,” said Shantz, 26, a computer programmer who works for a California company from his loft. “You don’t have to set up anything weird.”

Shantz and other residents plug modems into an electric outlet, plug their computers into the modem’s Ethernet port, turn it on and start their browser software. The always-on connection uploads and downloads files at six megabits per second.

At the Ventana, the service costs about $13 a month, which is included in condo association fees. Tenants can order higher-speed connections from Electric Internet: 10-megabit service for $29 a month or 100-megabit service for $99 a month.

Electric Internet uses the electrical wiring within buildings to deliver Internet access to electrical outlets, building systems or hard-wired devices like security cameras. River City delivers Internet access to the building using telecommunications networks, not the power grid, and the Internet signal is then transmitted through the building’s electrical wiring.

“It has the most flexibilty,” said John Monshausen, vice president of Jacob Development Group, which owns the Ventana. “The tenants are extraordinarily happy.”

Electric Internet is putting the system into an assisted living facility in south St. Louis County, an apartment building in the Central West End and two Jacob Development Group projects besides the Ventana, said Trey Goede, executive vice president of River City.

Goede said Electric Internet can save a building owner money because it doesn’t require separate cables for Internet access. Developers don’t have to guess where tenants will want to use the service, either. Instead of putting in three or four Internet jacks per unit, they know that tenants can plug in at any outlet.

Ameren Energy Communications, an unregulated subsidiary of the power company, provides equipment for connecting the Internet to a building’s power system. River City acts as an Internet service provider, handling customer service and billing for the business.

The companies market the service jointly in the St. Louis area, said Cindy Bambini, project manager for Ameren Energy Communications. The utility may seek other partners elsewhere in its service area.

Electric Internet is marketing the service primarily to multi-tenant buildings, hospitals, office buildings and other commercial buildings. In most cases, the company is selling to developers of new buildings or those undergoing major renovation, Goede said.

Ameren has been testing Internet service delivered from its power poles to customers in Cape Girardeau for nearly five years, but it isn’t planning to expand beyond that test, Bambini said. Several regulatory and technology issues need to be overcome before Ameren could start selling Internet access over its power grid, she said.

E-PORT OFFERS BUSINESSES A SPEEDY CONNECTION TO THE INTERNET
New service avoids the public switched telephone company to ensure
swift, reliable and affordable access for businesses.

Feb. 12, 2003, ST. LOUIS — Primary Network, an internet access solutions company, and
Digital Teleport, Inc., a wholesale fiber optic transport service in the Midwest, announced today
they are in discussions with the property managers of an additional six buildings to provide e-
Port internet access for their tenants.

The four buildings in Clayton and two in downtown St. Louis would bring the total to 23
buildings in the metropolitan area. Currently 17 buildings in the St. Louis area already have e-
Port with two buildings in Kansas City slated to come online in late February.

“This is the only internet access any business will ever need. Traditional internet connections
require a new local loop any time you want to increase bandwidth. With e-Port, you can go from
a 1 Mb to 100 Mb connection with just a phone call. It’s the network of tomorrow available right
now,” said Douglas Reineri, Vice President of Access Sales for Primary Network.
e-Port is a unique broadband alternative because it bypasses the public switched telephone
network. Whether it is a T-1, ISDN, DSL, or dial-up modem, the “last mile” for all connections
is handled by the local telephone company before rerouting the request to the internet.
Most internet congestion occurs at this point of the connection. Once a connection navigates
through all the traffic on its local loop, the phone company then directs the user’s request into
one of several internet backbones.

e-Port
e-Port eliminates the local loop by wiring a building directly into a dedicated metropolitan fiber
optic network lying beneath the street. The fiber is run into the basement level of a building and
internal cabling within the walls connects to all floors providing direct access for tenants.
The connection within individual offices is as simple as a regular RJ45 telephone jack. Using a
standard phone jack eliminates the need for additional hardware. A hub is all that is necessary to
add computers to the e-Port connection.

Additionally, e-Port gives businesses a virtual local area network (VLAN) which allows for a
secure internet environment especially for sensitive internet transactions. All businesses within
the building can conduct transactions via their own VLAN without the risk of security breaches
between offices.

“If you’re in one of those buildings where e-Port is available, your business can have tomorrow’s
internet solution today and it won’t cost you anymore than you’re currently spending for access,
stated Reineri. “And, in many instances, it will cost less.”

There is an additional cost savings as well. Businesses who currently have an internal network
can plug into e-Port without purchasing any additional equipment. By using a company’s
existing network, hub, and telephone jack, e-Port’s flexible connection is accomplished without
expensive switches and routers.

Monthly cost for e-Port varies with the amount of bandwidth a company uses. A two-person
office using only a small amount of bandwidth will pay less than the 200-person firm using a
greater portion of the bandwidth. This approach makes internet access more like a utility than a
premium service.

“One of the features that make e-Port unique is the ability to turn up or down the amount of
bandwidth a user needs. If you need more bandwidth, just turn it up a notch or two. Just like
your electric bill, you’ll only pay for the bandwidth you use,” added Reineri.
But don’t look to see buildings everywhere in the area equipped with e-Port. Besides obtaining
the access rights with property managers, installation contractors must also have the appropriate
permits from the city or municipality before they can begin digging up streets and sidewalks.
“It costs us about $50,000 to ‘light up’ a single building, so not every building will have e-Port
available,” said Reineri. “But, we’re currently looking into other ways to connect small
buildings to the e-Port system. One of the methods we are considering is wireless technology to
connect smaller buildings to one large building using a point-to-multipoint distribution system.
That way we can offer e-Port to businesses in smaller or one tenant buildings,” he said.
“We are firmly behind this technology and we will continue to look for ways to improve it and
expand. This is truly the next generation platform for internet access,” stated Reineri.

IT’S SURVIVAL OF THE FITTEST IN THE TELECOM INDUSTRY
Jan. 13, 2003, ST. LOUIS —The start of 2003 has many industry analysts speculating on what will happen with the economy this year. Chief among the industries on their watch list is telecommunications. While some of these analysts believe telecommunications will begin a comeback, others do not hold such a rosy view of the industry, predicting it will remain flat.
Locally, Primary Network is one of the very few survivors of the telecom implosion of 2000. Primary Network was a natural outgrowth of CDM Fantasy Sports, an on-line gaming company. CDM Fantasy Sports began in the early 1990s and initially promoted its fantasy games through a nationally distributed sports publication. Players called a toll-free number connected to a 100-person call center, registered, made their payment, chose players and began playing in a fantasy football or baseball league.

As more and more players registered for leagues, the internet replaced the call-center. The nature of fantasy sports is transaction heavy, particularly in the spring with the start of baseball and fall when football season begins.

The volume increased exponentially and the company needed an internet service provider (ISP) that could handle the large volume of traffic to the web site. After researching a number of ISPs, CDM Fantasy Sports determined that they had the expertise and resources to build their own network. The newly-constructed network became known as CDM Online.

In 1995, CDM Online spun off its network operation and created Primary Network. The network was founded to support an already successful company. With a carrier class network in place and excess bandwidth available, Primary set out to sell connections to individuals as well as businesses.

Primary Network Survival Story

They met with overwhelming success and customers started requesting bundled products including voice service. To meet their customers’ demands, Primary Network began offering telephone service by reselling telephone lines through Southwestern Bell.

By 2000, Primary Network’s uniqueness was dwarfed by the myriad other companies who sought to copy them in the internet start up world. With the field of competitors becoming increasingly more crowded, the cash flow was starting to dry up and Primary had to consider its options. The only two viable options were a cash infusion from venture capitalists or sell the network.

A cash infusion from venture capitalists would give the bankers a significant say in the operation of Primary, however, selling the network would dramatically improve the cash flow. Within weeks, Mpower Communications of Rochester, NY stepped forward and made an offer to purchase the network and the deal was finalized in June 2000 with a $145 million stock transaction.

After Mpower took over the operation, they began to upgrade the network by adding a Class 5 switch which would ultimately lower its customers’ monthly bills by allowing the company to purchase lines from SBC wholesale and passing on those savings.

The switch was completed by mid 2001 at a cost of $40 million dollars. By that time, however, Mpower’s management in Rochester had decided to withdraw from 17 markets including St. Louis and Kansas City before the transition could be completed. Mpower offered to resell the network back to the original owners and in June 2001, the Primary Network name was brought out of retirement.

The telecommunications industry was in a quagmire by this time. If Primary was going to survive, it needed to reduce its costs which meant it needed to pare down some of its service offerings. The management team quickly decided that the only way to profitability, indeed survival, was to stick with its core competencies. That meant doing what it did best – internet connectivity.

So Primary discontinued all telephone services but continued to offer its customers several options for internet connectivity including broadband access. They also narrowed their market by selling their products business to business.

As Primary gradually wooed back some of their previous customers and won new ones, they added to their product line with services designed to increase productivity for their customers. They currently offer unique products such as e-mail by phone and e-Port.

Today, Primary Network is still a viable telecommunications company as it continues on solid financial ground. The management team credits its success to building a strong foundation and a common sense approach to the day-to-day operation.

“The key to our success has been building a solid foundation,” said Brian Matthews, CEO. “So many of our competitors in the past built companies on virtual foundations using real money and when things got tough, the foundation just crumbled leaving only a pile of loan papers and angry investors in the rubble,” said Matthews.

Once just wasn’t enough for Brian Matthews or his Internet team.

Matthews merged PrimaryClick.com and Hostirian — companies headed by two of his former executives — with his recreated Internet service provider, Primary Networks.

“Never in my wildest dreams did I think I would get back into providing Internet access,” Matthews said, “especially not this quickly.”

But get back in he did. In May, he repurchased the corporate Internet assets of Mpower Communications, which just a year ago paid $145 million for Primary Networks. He declined to disclose terms of the repurchase deal.

Now Primary Networks, PrimaryClick and Hostirian are wholly owned subsidiaries of the newly created River City Internet Group.

PrimaryClick, founded last July, is an Internet advertising firm headed by Chief Executive Trey Goede. Hostirian, founded in January, is a Web hosting firm run by Richard Hercules. Both men were vice presidents of sales at the old Primary Networks.

Matthews will be chief executive of Primary Networks and of River City Internet Group. Goede and Hercules will retain their chief executive jobs at their respective subsidiaries, and both will serve on the River City board.

“It’s fantastic,” Goede said. “We’re back doing what we love to do, and we’re ready to go at it again.”

Employee shareholders The merger was a stock-for-stock transaction, with all non-founding shareholders in Primary Networks, PrimaryClick and Hostirian receiving shares in River City. Matthews said most of these shareholders are employees of the three companies.

The original founders of Primary Networks — Brian and Carol Matthews, John Brison and Charlie Wiegert — are the largest shareholders in River City Internet Group, followed by Goede, Hercules and Steve Szachta, vice president of Hostirian.

The Matthews’ collection of companies can be a confusing alphabet soup to outsiders, but for the Matthews and other owners it has spelled success.

River City is owned by CDM Properties, CDM Fantasy Sports and CDM Ventures. Matthews founded CDM Fantasy Sports, a computer game company, in 1991. CDM Ventures is the company’s investment arm and CDM Properties is the property management arm.

Matthews said annualized revenue for the three River City Internet Group companies is $6 million — $4 million for Primary Networks and $1 million each for Hostirian and PrimaryClick. The holding company will have about 40 employees, 12 at Hostirian,

seven at PrimaryClick and the rest at Primary Networks. No employees were laid off in the merger.

“We’ll actually be adding a couple of employees (at Hostirian) as a result of the merger,” Hercules said. “We picked up a significant number of new customers as a result of our alliance with Primary Networks.”

Urge to merge Matthews listed “multiple reasons” for merging the three companies: “One, we get a lot of efficiencies from a personnel standpoint as well the ability to do some network sharing.” Also, the three subsidiaries can cross-sell Internet products to clients.

This merging of online service providers is not uncommon in the Internet industry, said Eddie Bannerman-Menson, a local independent e-commerce consultant, and it’s a strategy that is usually attractive to potential clients.

“Most companies now want a one-stop shop offering many services,” Bannerman-Menson said. “That way they don’t have to manage multiple vendors. We’re going to continue to see a lot of consolidation like this in the industry.”

Matthews was a major investor in the founding of both PrimaryClick and Hostirian. “We had a quarter of a million dollars invested in each of them,” Matthews said. “When I sold Primary Networks to Mpower last year, I knew there were two areas that we hadn’t handled well at Primary — Internet marketing and Web hosting — so those were areas I wanted to invest in.”

Both PrimaryClick’s and Hostirian’s offices are in the West Port building housing the CDM companies, and Mpower previously was on the first floor of the building, in space once occupied — and now reoccupied — by Primary Networks.

All Hostirian employees are former Primary Networks employees, and a majority of the recreated Primary Networks employees used to work there. Only one PrimaryClick employee had worked at Primary Network; the others were “brought in through the CDM side of the house,” Goede said.

Primary Networks was founded in 1994 as a spin-off of CDM Fantasy Sports. The company was sold to Rochester, N.Y.-based Mpower Communications a year ago. In May, Primary executives bought back Mpower’s corporate Internet access accounts, including more than 5,000 accounts in St. Louis and Kansas City. Access US, a St. Louis-based Internet service provider, is acquiring Mpower’s consumer accounts.

Matthews and the other owners of Primary Network sold their business to Mpower last year in a deal valued at about $145 million. Mpower expanded its interests into telephone service and digital subscriber line, DSL, service to businesses. The founders of Primary Network decided to buy back the Internet service component after Mpower announced plans to shutdown the Internet and telephone service and lay off 275 employees nationwide.

“We believe that Primary Network is an excellent business service that values its customers and will remained focused on its main core competency,” Matthews said. “We will keep our eye on the ball.”

Terms of the purchase from Mpower were not disclosed, but Matthews said the agreement included the right to relaunch the Primary Network name.
